Terms of Service
1. Parties and Agreement
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Developer", "you", "your") and CHEQs Global Ltd, a company registered in England and Wales (Company No. 15802641), with its registered office at 205 Regent Street, London, W1B 4HB, United Kingdom ("CHEQsPay", "we", "us", "our").
CHEQsPay is a product of CHEQs Inc. and is provided by CHEQs Global Ltd under licence from CHEQs Inc. By accessing or using the CHEQsPay platform, SDK, API, dashboard, or any associated services (collectively the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of Service
CHEQsPay provides a JavaScript SDK and associated proprietary platform enabling browser Extension developers to integrate payment processing, subscription management, and licensing without building server-side infrastructure. The Service consists of two distinct components:
- The CHEQsPay SDK — a JavaScript library released under the MIT licence (see Section 8)
- The CHEQsPay Platform — the dashboard, API, backend infrastructure, and all associated proprietary software, which remains the exclusive property of CHEQs Inc. and is not open source
CHEQsPay does not itself process payments — all payments are processed directly by your chosen payment provider (e.g. Stripe, Paddle, LemonSqueezy) under their own terms.
2.1 Technology Provider Status
CHEQsPay is a technology service provider only. CHEQs Global Ltd does not at any point hold, transmit, settle, or otherwise handle funds on behalf of you or your end users. All funds flow exclusively between your end users and your chosen payment provider, directly and entirely outside of CHEQsPay's systems. CHEQsPay never has custody of, or access to, any funds at any stage of a transaction.
As a consequence of this structure, CHEQs Global Ltd does not operate as a payment institution, e-money institution, or money service business, and is not required to be authorised or registered with the Financial Conduct Authority (FCA) under the Payment Services Regulations 2017 or the Electronic Money Regulations 2011 in respect of the Service.
Your payment compliance obligations: You are solely responsible for ensuring that your own use of the CHEQsPay platform, your chosen payment provider, and your Extension(s) complies with all applicable financial services laws and regulations in every jurisdiction in which you operate or distribute your Extension, including but not limited to payment services regulations, anti-money laundering requirements, and consumer protection laws. CHEQsPay makes no representation that use of the Service satisfies any regulatory obligation you may have. If you are uncertain about your regulatory position, you should seek independent legal advice before distributing your Extension.
3. Eligibility
To use CHEQsPay you must be at least 18 years of age, have legal capacity to enter binding contracts, hold a valid account with your chosen payment provider, comply with all applicable laws in your jurisdiction, and comply with the developer programme policies of any browser extension platform through which you distribute your Extension.
4. Account Registration
You must register an account to use the CHEQsPay platform. You agree to provide accurate, complete, and current information and to keep it updated. You are responsible for the confidentiality of your credentials and all activity under your account. Notify us immediately at of any unauthorised access.
5. Fees and Pricing
5.1 Transaction Fee
CHEQsPay charges a percentage fee on each transaction processed through the Service:
- Early Adopter rate: 2.5% per transaction — platform lifetime rate, available to the first 50 qualifying customers, locked at registration and non-transferable
- Standard rate: 5% per transaction
5.2 Payment Provider Fees
Your chosen payment provider will charge their own transaction fees separately and directly. CHEQsPay fees are charged in addition to, and independent of, any payment provider fees.
5.3 Fee Changes
We reserve the right to change the standard fee rate with 30 days' written notice by email. Early Adopter rates are guaranteed and will not increase for qualifying accounts. Commercial SDK licence pricing is agreed separately in writing.
5.4 No Monthly Fees
There are no monthly subscription, setup, or minimum charges for platform use. You pay only when your users pay.
6. Your Responsibilities
You are solely responsible for your Extension(s) and all content within them; compliance with the policies of any browser extension platform through which your Extension is distributed (including but not limited to Google Chrome Web Store, Microsoft Edge Add-ons, Mozilla Add-ons, Apple Safari Extensions, and any other platform supported by CHEQsPay from time to time); compliance with your payment provider's terms; providing your users with adequate privacy notices and terms; all customer support for your end users; maintaining appropriate tax registrations and remitting applicable taxes; the accuracy of product descriptions, pricing, and refund policies shown to your users; and compliance with the applicable SDK licence (see Section 8).
7. Acceptable Use
You must not use CHEQsPay to process payments for illegal goods or services, deceive or defraud users, violate any applicable law, distribute malware or harmful code, infringe third-party intellectual property rights, engage in money laundering or financial crime, circumvent our fee structure, or use the SDK to build a competing platform without obtaining a commercial licence. We reserve the right to suspend or terminate accounts in breach of these provisions without notice.
8. SDK Licence
The CHEQsPay JavaScript SDK ("SDK") is released under the MIT Licence. The full licence text is as follows:

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT. IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT OR OTHERWISE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
Open Source — Free Forever
Use the SDK freely in any project, open or proprietary. No restrictions on your own code. No requirement to share anything back. Just keep the copyright notice.
Commercial Licence
Required only if you wish to build a product or service that competes with or replicates the CHEQsPay platform itself. Contact us to discuss terms.
8.1 Platform — Proprietary
The CHEQsPay platform, including the dashboard, API, backend systems, algorithms, and all associated software other than the SDK, is proprietary and all rights reserved. The MIT licence applies solely to the SDK. You may not copy, modify, reverse engineer, decompile, or create derivative works of the platform.
8.2 Commercial Licence
Notwithstanding the MIT licence, a commercial licence is required if you wish to use the SDK to build a product or service that competes with, replicates, or substitutes the CHEQsPay platform. To enquire about commercial licensing terms and pricing, contact:
9. Intellectual Property
The CHEQsPay platform and all associated designs, trademarks, and content are the intellectual property of CHEQs Inc. and CHEQs Global Ltd. CHEQs® is a registered trademark. The Q design is a trademark of the CHEQs Group. Nothing in these Terms transfers ownership of our intellectual property to you. You retain all IP rights in your Extension(s) and grant us only a limited licence to use your extension name and logo to provide the Service. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose.
10. Service Availability
We aim to maintain high availability but do not guarantee uninterrupted access. We may perform maintenance or modifications at any time and will endeavour to provide advance notice of planned downtime where practicable.
We are not responsible for the availability, performance, or interruption of any third-party payment provider (including but not limited to Stripe, Paddle, and LemonSqueezy) or any browser extension platform. If a payment provider experiences an outage, degraded performance, or makes changes to their service that affect CHEQsPay functionality, we will endeavour to communicate updates promptly but accept no liability for any resulting loss of service, failed transactions, or revenue impact on your Extensions.
11. Disclaimers and Limitation of Liability
11.1 No Warranty
The Service and SDK are provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
11.2 Limitation of Liability
To the maximum extent permitted by applicable law, CHEQs Global Ltd's total liability to you shall not exceed the greater of (a) total fees paid by you in the 3 months preceding the claim, or (b) £100 GBP. We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill.
11.3 Payment Provider Liability
CHEQsPay is not responsible for the actions, errors, or omissions of any third-party payment provider. Disputes relating to payment processing must be resolved directly with your payment provider.
12. Indemnification
You agree to indemnify, defend, and hold harmless CHEQs Global Ltd, CHEQs Inc., and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your Extension(s), your violation of these Terms, or your violation of any applicable law.
13. Term and Termination
These Terms commence when you create an account or first use the SDK. You may terminate your account at any time by contacting ; termination does not entitle you to a refund of fees already incurred. We may suspend or terminate your access immediately for breach of these Terms, unlicensed platform use, or fraudulent activity, or on 30 days' notice for any other reason. Termination of your platform account does not affect your rights under the MIT licence for the SDK, which are granted perpetually and irrevocably by the licence itself.
14. Governing Law and Disputes
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt good-faith resolution through direct negotiation for 30 days before initiating legal proceedings.
15. Changes to These Terms
We may update these Terms from time to time with at least 14 days' email notice for material changes. Continued use constitutes acceptance. Changes to these Terms do not affect rights already granted under the MIT licence for the SDK.
16. General
- Entire Agreement: These Terms, our Privacy Policy, and any applicable commercial licence agreement constitute the entire agreement between you and CHEQs Global Ltd regarding the Service.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Failure to enforce any provision is not a waiver of our right to enforce it later.
- Assignment: You may not assign your rights without our prior written consent. We may assign to any affiliate or successor.
- MIT Licence Precedence: Nothing in these Terms limits your rights under the MIT licence. The MIT licence grants rights that are perpetual, irrevocable, and not contingent on your use of the CHEQsPay platform.
